1. Acceptance of Terms
This Terms of Service agreement ("Agreement" or "Terms") is a legally binding contract entered into by and between Pentfield Technologies Limited ("Pentfield", "we", "us", "our") and any person, corporation, estate association, resident, tenant, homeowner, security guard, or client ("User", "Customer", "Client", "You", "Your") who accesses, downloads, registers, or uses any part of the Pentfield Hamlet ecosystem.
The ecosystem comprises:
- The Pentfield Hamlet Resident Mobile Application (Package:
com.pentfield.hamlet2). - The Pentfield Hamlet Security Mobile Application (Package:
com.pentfield.hamletsecurity). - The Pentfield Hamlet Manager desktop application and cloud backend systems.
- The Hamlet Hub and client portal services (accessible at
hamlets-hub.comand authorized subdomains). - All related APIs, scheduled automated tasks, notification pipelines, and associated software components.
BY CLICKING "ACCEPT", DOWNLOADING, INSTALLING, REGISTERING FOR, OR USING ANY PORTION OF THE SERVICE, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, DO NOT DOWNLOAD, ACCESS, OR USE OUR SERVICES.
2. Role of Pentfield Technologies: SaaS Provider Only
PENTFIELD TECHNOLOGIES IS NOT A PROPERTY MANAGER, LANDLORD, REAL ESTATE BROKER, SECURITY CONTRACTOR, SECURITY GUARD AGENCY, LAW ENFORCEMENT BODY, EMERGENCY DISPATCHER, UTILITY SUPPLIER, OR BANK.
All estate governance decisions, resident admission approvals, gate access rules, physical security deployments, fee assessments, utility tariff calculations, and facility maintenance obligations are established and managed exclusively by your independent Estate Executive Committee, Facility Management Company, or Landlord ("Hamlet Manager"). Pentfield Technologies bears zero responsibility or oversight regarding estate executive administration or local management decisions.
3. CRITICAL DISCLAIMER: Emergency Alarm & Panic Button System
The Pentfield Hamlet platform incorporates an Emergency SOS Panic Alarm feature designed to transmit digital alerts to on-duty security guards and registered emergency contacts when activated by a resident.
2. PENTFIELD TECHNOLOGIES DOES NOT PROVIDE ARMED RESPONSE, PHYSICAL GUARDS, POLICE INTERVENTION, FIRE EXTINGUISHMENT, OR MEDICAL DISPATCH.
3. ALERT TRANSMISSION DEPENDS ENTIRELY UPON USER HARDWARE, CELLULAR/WI-FI NETWORK AVAILABILITY, CLOUD SERVER UPTIME, AND THE VIGILANCE OF ON-DUTY ESTATE GUARDS. PENTFIELD CANNOT AND DOES NOT GUARANTEE THAT AN ALERT WILL BE DELIVERED, HEARD, OR ACTED UPON.
4. PENTFIELD TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL HAVE ABSOLUTELY ZERO LIABILITY FOR ANY BODILY HARM, ASSAULT, INJURY, LOSS OF LIFE, ROBBERY, BURGLARY, THEFT, VANDALISM, ARSON, PROPERTY DESTRUCTION, OR FAILURE OF ESTATE GUARDS TO INTERVENE.
In any genuine life-threatening emergency, fire, or security intrusion, users must always telephone national emergency lines (such as 112 or 199 in Nigeria) and local police or fire departments directly.
4. Gate Clearance, Digital Passes & Visitor Access
The Pentfield Hamlet platform generates digital gate passes, invitation codes, and machine-readable QR codes to assist estate gate personnel in identifying visitors and recording clock-in/out timestamps.
- Clearance Authority: Physical admittance or refusal of entry into any estate remains the sole, discretionary prerogative of the Estate Management and its stationed security officers. The generation or presentation of a digital pass does not constitute a guaranteed right of entry.
- Resident Warranties: Residents warrant that any visitor invitation generated is for a legitimate, authorized guest. Users are strictly prohibited from generating passes for unauthorized persons or commercial solicitations that violate estate bylaws.
- Liability Waiver: Pentfield Technologies disclaims all liability for unauthorized trespass, crimes committed by visitors, vehicular collisions within estate grounds, property damage, or wrongful refusal of entry by security guards.
5. Financial Dues, Utility Bills & Payment Processing
Through our platform, residents may view and settle estate service charges, security levies, water rates, and power token purchases:
- Estate Dues Assessment: All billing amounts, levies, due dates, penalties, and payment rules are determined solely by your Estate Management. Pentfield Technologies does not set tariffs and is not a party to disputes regarding billing amounts.
- Third-Party Payment Processors: Online payment card and bank transfer transactions are executed through licensed, PCI-DSS Level 1 certified third-party payment gateways (including Paystack). Pentfield Technologies does not hold or store debit/credit card numbers or banking PINs.
- Processor & Bank Downtime: Pentfield is not liable for delayed transactions, banking network downtime, payment gateway processing errors, or delays in automated utility token delivery caused by third-party DISCO vending APIs.
- Refunds: Payments made to estate accounts for service charges, utilities, or levies are handled exclusively by your Estate Management. Pentfield has no custody over estate funds and cannot issue refunds for estate dues.
6. User Accounts, Credentials & Responsibilities
To use our mobile applications and portals, you must register an account and maintain accurate, up-to-date information:
- Account Truthfulness: You agree to provide accurate, current, and verifiable information during onboarding. Impersonation of another resident, landlord, or estate official is strictly prohibited and grounds for immediate account termination and legal reporting.
- Credential Safeguarding: You are solely responsible for preserving the confidentiality of your username, password, and security tokens. You must notify us immediately at support@pentfieldtechnologies.com of any suspected security compromise.
- Authorized Household Management: When adding family members, co-residents, or domestic staff as dependents, you warrant that you possess lawful authority to register them and share their information.
7. Acceptable Use Policy (AUP)
You agree not to use the Pentfield Hamlet platform to engage in any unlawful, harmful, or disruptive conduct. Strictly prohibited actions include:
- Triggering deliberate false alarms or malicious SOS panic button activations.
- Attempting to reverse engineer, decompile, disassemble, or extract source code from our mobile applications, APIs, or desktop binaries.
- Bypassing or tampering with security controls, gate verification tokens, or administrative privileges.
- Conducting automated scraping, crawling, stress-testing, or launching denial-of-service (DoS/DDoS) attacks against our infrastructure.
- Uploading malicious payloads, viruses, worms, spyware, or harmful code.
- Transmitting defamatory, threatening, obscene, discriminatory, or harassing content through estate directory or messaging channels.
- Generating fraudulent visitor passes for unauthorized individuals or commercial distribution.
Pentfield Technologies reserves the unilateral right to investigate suspected violations and immediately suspend or terminate access without notice, in addition to pursuing civil and criminal remedies under applicable Nigerian cybercrime legislation.
8. Subscriptions, Fees & Renewals (Estate / Corporate Clients)
The following provisions govern commercial licensing agreements with subscribing estates, facilities, and property management companies:
- Subscription Billing: Software subscription and cloud data storage fees for Pentfield Hamlet Manager are calculated on a monthly basis but billed and payable annually in advance, beginning from the initial software deployment order date.
- Manual Renewals: Estate account administrators are responsible for manually renewing subscriptions by logging into their account portal at https://hamlets-hub.com/account/account. While courtesy reminders are dispatched, failure to renew shall result in service disruption.
- 30-Day Money-Back Guarantee: If a corporate client terminates their initial software license agreement within thirty (30) calendar days of the software order date, they are entitled to a full refund of the Pentfield Hamlet Manager desktop software license fee, excluding statutory taxes. This guarantee applies solely to the initial desktop license and does not apply to operational cloud subscription fees.
- Non-Payment & Grace Period: Failure to settle annual subscription renewals within ten (10) consecutive calendar days of the due date will result in immediate service suspension. Failure to remit payment within twenty-five (25) consecutive calendar days will result in service termination, and all associated cloud data may be permanently destroyed for security and privacy reasons.
- Cancellation & Data Responsibility: Subscribing clients may request cancellation by emailing accounts@pentfieldtechnologies.com. If canceled prior to the expiration of an annual term, pro-rated refunds for remaining whole months may be issued. Clients are strictly responsible for exporting their data prior to cancellation. Pentfield is not liable for data loss following confirmed account termination.
- Service Credits: Any service credits issued to a client account are non-transferable, non-cashable, and may only be applied against future subscription renewals.
9. Intellectual Property Rights
All intellectual property rights in and to the Pentfield Hamlet ecosystem—including but not limited to software code, desktop binaries, mobile application binaries, graphic interfaces, logos, trademarks, database structures, documentation, and technical innovations—are and shall remain the exclusive property of Pentfield Technologies Limited.
Subject to your continuous compliance with this Agreement, Pentfield grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the platform solely for internal estate management or authorized personal resident access. No title or ownership rights are transferred to you.
10. Third-Party Services & Infrastructure Dependencies
The Service relies on integrations with reputable third-party cloud infrastructure providers (e.g., Google Cloud Platform, Firebase, Paystack, Termii SMS, and Apple/Google operating systems). Pentfield Technologies is not liable for service interruptions, data latency, policy changes, or termination of services initiated by these third-party providers.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, PENTFIELD TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
PENTFIELD DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR OPERATIONAL EXPECTATIONS; (B) THE SERVICES WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE; (C) EMERGENCY ALARM SIGNALS WILL BE DELIVERED WITHOUT LATENCY; OR (D) DEFECTS WILL BE IMMEDIATELY CORRECTED.
12. Comprehensive Limitation of Liability
IN NO EVENT SHALL THE TOTAL AGGREGATE CUMULATIVE LIABILITY OF PENTFIELD TECHNOLOGIES ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EXCEED THE GREATER OF:
(A) THE ACTUAL SUBSCRIPTION FEES PAID BY THE CLAIMANT TO PENTFIELD IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR
(B) FIFTY THOUSAND NIGERIAN NAIRA (NGN 50,000) FOR INDIVIDUAL RESIDENT OR SECURITY MOBILE APP USERS.
13. Indemnification
You agree to defend, indemnify, and hold harmless Pentfield Technologies Limited, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, losses, costs, expenses, and legal fees arising out of or resulting from:
- Your breach of these Terms, the Privacy Policy, or applicable laws.
- Your misuse of the platform, including fraudulent visitor invitations or malicious triggering of the emergency panic alarm.
- Any disputes between you and your estate management, landlord, co-residents, or visitors.
- Any personal injury, property destruction, or criminal act occurring within an estate utilizing the platform.
- Any content, data, or files uploaded or transmitted through your account.
14. Suspension & Termination
Pentfield Technologies may suspend or terminate your access to the platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms, misuse security features, or fail to remit subscription fees.
Upon termination, your right to use the platform terminates immediately. Users wishing to delete their individual accounts may do so via the in-app settings menu or by visiting our Account Deletion Portal. Provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Dispute Resolution & Governing Law
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Amicable Negotiation: In the event of any controversy, claim, or dispute, the parties agree to first attempt in good faith to resolve the matter through informal written negotiation for a period of not less than thirty (30) days from the receipt of formal written notice.
Exclusive Jurisdiction: Any dispute that cannot be resolved through amicable negotiation shall be submitted to the exclusive jurisdiction of the competent courts of the Federal Republic of Nigeria, sitting in Lagos or the Federal Capital Territory, Abuja.
16. General Legal Provisions
- Entire Agreement: These Terms and the Privacy Policy constitute the entire understanding and agreement between you and Pentfield Technologies regarding the Service, superseding all prior agreements or proposals.
- Severability: If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force and effect.
- No Waiver: No failure or delay by Pentfield in exercising any right or remedy under these Terms shall operate as a waiver thereof.
- Assignment: Pentfield may assign its rights and duties under this Agreement at any time to an affiliate or in connection with a corporate merger or acquisition without prior notice. You may not assign this Agreement without Pentfield's prior written consent.
- Force Majeure: Pentfield shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, telecommunication blackouts, power grid collapses, civil unrest, war, strikes, or government embargoes.
